Introduction:
Agel is opening for business in Europe!The anticipated pre-launch of the first Suspension Gel Technology enterprise in Europe starts September 2006. Agel will accept pre-launch enrollments starting on Monday, September 11, 2006. The initial orders will be processed later in September and products will ship to European Team Members from Tilburg in the Netherlands starting the week of September 18.

Products will be available for “Free Sell” in the Netherlands and NFR (Not For Resale) in other European Union (EU) markets, including:

*Due to taxation issues, some EU countries are not included in the initial launch, namely Greece, Malta, Cyprus, France and Italy. Additional countries within Europe will be phased into the Agel Distant Selling program during the first 60 to 90 days.

Following the initial launch, the NFR status will be modified in some countries and eliminated in others, as individual European governments accept the Belgium product registration. Agel FIT, Agel UMI, Agel EXO, Agel MIN, and Agel OHM are all registered in Belgium. We are waiting the final notification number from Belgium.

Corporate headquarters in the United States will serve as the backbone for Agel business overseas, with most all business being conducted via the Internet. The Agel Pay Plan, Customer Service, and Product Manufacturing for Europe are already in place. Agel has partnered with a reputable warehouse in Europe and a reliable shipping service to facilitate the logistic operations and product distribution throughout Europe.

Moving this quickly into a new market will require adjustments for European Team Members. For example, customer service will be available between the hours of 4:00 pm and 1:00 am Central European Standard Time (CEST), Monday through Friday. European Team Members can enroll at either the Executive or Retailer Levels. Agel will charge an enrollment fee of €25 in all countries but the UK and £15 in the UK at the time of enrollment. (Agel will not charge the initial order fee or the enrollment fee until product is ready to ship.)

The Agel Pay Plan in Europe matches the US version with the following exception: Commissions/Bonuses will be paid via direct deposit in British Pounds in the UK and in Euros elsewhere.

Terms and Conditions:

What laws govern Agel business in the EU?
Agel Team Members in Europe are subject to the MLM laws governing their country, the Agel European Policies and Procedures, and any Terms and Conditions specific to their market. Agel will enforce fair-trade laws as outlined by the European Commission.

Registering Preferred Customers:

What is the difference between a Team Member and a Preferred Customer (PC)?
A Team Member can earn commissions. A Preferred Customer does not participate in the commission program. Both can purchase product at Team Member prices.

How much does it cost to register as a PC?
It cost nothing. You can enroll as a Preferred Customer online where you will receive an Agel Preferred Customer Number. An enrollment fee and Start Kit are not required to become a PC.

Can non-residents of Europe register as PCs?
Yes, if they reside in another market currently supported by Agel.

If I have previously registered as a PC under one sponsor, can I later become a PC or a Team Member under a different sponsor?
Yes; however, you must cancel your first PC status and re-enroll under the new sponsor – either as a PC or a Team Member.

Why should a Team Member sponsor PCs?
Team Members often choose not to make a profit when selling product to close friends. Instead of retailing, they can register their friends as PCs. That way their friend knows they are getting the best possible price for the products, while the Team Members no longer worries about product delivery. As a further bonus, PC purchases count toward the sponsoring member’s Commissionable Volume.

Registering New Team Members:

How do I become an Agel Team Member in Europe?
(a) Contact a current Agel Team Member. (b) Place an “Activation order.” (c) Complete, sign, and submit the European Team Member Application.

Do I have to pay a registration fee, or joining fee?
Yes, Agel charges a minimal enrollment fee of €25 or £15.

Can my spouse or child hold a separate Agel Team Membership?
Spouses cannot hold a separate Team Membership but independent children not living in the same household and over the age of 18 can.

What are the Retailer and Executive Kits?
A package of Agel product consists of four (Retail) or sixteen (Executive) boxes of product. The kits are pre-packed for the convenience of new Team Members who want to activate their business.

Can I activate my account without purchasing an activation kit?
No, the purchase of an activation kit is required.

What is the Team Member Agreement?
The Team Member agreement is an Adobe Acrobat pdf document with the new Team Member information and initial order. The agreement must be printed out, signed, and submitted to Agel Corporate.

The Team Member Application must be signed by the Team Member and submitted to Agel Corporation within a fifteen-day grace period following the initial application. After fifteen days, the account will be frozen until such Application is received.

a) A printable copy of the Team Member Application must be obtained in the Agel Back Office.
b) Agel Team Members must read and understand the Agel European Policies and Procedures found on the Agel website prior to signing the Application.

What are the terms of the agreement?
Agel Team Members are subject to all Multi-level Marketing laws and Consumer Protection laws that govern their respective countries. They are also subject to the laws established by the European Commission Directorate General for Health and Consumer Protection; including Door to door selling, Pyramid Selling, and Multi-level Marketing.

Registering Foreigners:

Can non-European citizens register as Team Members in Europe?
Yes, non-Europeans who are current legal residents of Europe can register.

Does Agel require an Employment Pass or Work Permit?
No. Applicants are responsible to ensure they are legally permitted to earn an income in Europe.

Ordering Products:

How can I place an Agel order in Europe?
You can place orders in your Team Member back office account at www.agel.com.

Am I charged for delivery?
Yes there is a shipping charge that is different for each country. (See schedule for details)

How long after I place an order will I receive my products?
Delivery time in Europe ranges from 2 to 5 working days.

Can I have products delivered to a friend, or a relative?
Yes, if your friend lives in the EU.

What payment methods does AGEL accept?
We accept VISA, MasterCard, AMEX and Discover credit cards.

Can I pay by personal checks or money order?
No.

AutoShip:

What is AutoShip? Is it mandatory?
AutoShip is a standing order for Agel products, allowing Agel to bill you automatically every month for the products you choose. AutoShip is voluntary.

Why should I sign up for AutoShip?
You should choose AutoShip for the ease and convenience and so that you don’t miss qualifying for your monthly commission check.

Is there a minimum AutoShip requirement?
There is no minimum; however, 100 CV(or at less 2 boxes a month) is necessary to qualify for all bonuses and commissions.

Can I order sales tools through my AutoShip?
Yes.

How do I sign up for AutoShip?
A Team Member can sign up for AutoShip at any time by completing the application in the team member back office at www.agel.com.

Is there a penalty for canceling or modifying my AutoShip?
No. You can cancel or change your AutoShip at any time.

If I choose home delivery, when will my credit card be charged and when will I receive the products?
Your credit card will be debited on the Autoship date you select each month. The products take 2-5 business days for delivery.

Returning or Exchanging Products:

What is AGEL’s return policy?
Please refer to section 7 of the Agel Policy and Procedures.

Can I return products that are close to, or beyond the expiry date?
Products that are 3 months or closer to expiry are not considered in re-saleable condition, and cannot be accepted. For example, in January 2007, you cannot return or exchange products expiring April 2007 or earlier.

Can I return AGEL products which I have bought from other countries for refund or exchange?
No. Only products sold in the European Union can be returned to Agel Europe.

When and how can I receive my refunds?
We will reverse the credit card charge once your product arrives. Refunds usually take 6 to 8 weeks.

Earning and Receiving Commissions:

When are commissions paid?
Agel pays commissions once a month on the 15th.

How long has Agel been in business?
Agel Enterprises was incorporated in February of 2005. The first products were introduced in May, 2005, and the Agel Grand Opening was held in October of 2005.

I understand Agel is a global company. What countries does Agel do business in?
Agel is currently doing business in the United States, Canada, Israel, Australia, New Zealand, Russia, Ukraine, Hong Kong, Singapore, Malaysia, Thailand, Taiwan, Sri Lanka, Japan, Indonesia, Philippines, and several European countries. We are now in the process of developing a detailed global market expansion strategy that will include additional countries.

What is Suspension Gel Technology?
This new patent-pending technology is based on vitamin supplementation and convenience. We put nutritional supplements like vitamins, minerals, herbs, and antioxidants, into convenient single-serving foil packets.

Where can I find additional research and product information?
All current product information can be found on the Gels Page of the Agel Website. We encourage you to do your own research and to stay active in local area events and to participate in the weekly national product call hosted by the Agel Professional Advisory Team.
